Crude Oil Pipeline Transaction
GableGotwals represented a client in transactions involving a Texas crude oil pipeline and related assets owned by an entity in which the client has a 50% interest.  The client bought from that entity a crude oil pipeline system in the Houston Gulf Coast area and also consented to the transfer of the other 50% interest in that entity to another owner in a transaction valued at over $1 billion.

$1.5 Billion Credit Agreement
The firm represented WPX Energy, Inc. in connection with the amendment and restatement of its $1.5 billion senior revolving credit facility, including letter of credit and swingline subfacilities and an accordion feature allowing for an increase of an additional $300 million.

$90 Million Acquisition of Producing Oil and Gas Properties
A Houston-based client was represented by GableGotwals in the purchase of producing oil and gas properties and undeveloped leasehold in Western Oklahoma.

Acquisition of $160 Million Properties
GableGotwals represented an Oklahoma-based client in the $160 million purchase of producing oil and gas properties and undeveloped leasehold in the Oklahoma and Texas panhandle region.

Venture Capital
The Firm has advised and is currently advising a major university in connection with its investments in various startup ventures using technology licensed from the university.

$30 Million Real Estate Refinance
Represented a real estate developer in connection with the refinancing of an office park complex and buyout of the developer’s partner.

$200 Million Revolving Facility
GableGotwals represented the agent bank in the negotiation and documentation of a syndicated credit facility to Matrix Service Company, including swingline, letter of credit and Canadian sub-facilities. The credit facility was secured by collateral in multiple states and Canada.

$90 Million Export-Import Facility
Agent bank was represented by GableGotwals in the negotiation and documentation of a $90 million dollar revolving credit facility for a domestic manufacturer of industrial combustion and related equipment. The facility included a domestic facility secured by domestic receivables and an export facility secured by export-related receivables guaranteed by the Export-Import Bank of the United States.

Loan to MLP Executives
The Firm represented a lender in a series of multiple loans to MLP executives for the purpose of acquiring additional LLC units in the MLP’s general partner; representation has included documenting and perfecting the lender’s security interest in the general partner units.

Hotel Renovation
Advised the lender in connection with a $6.4 million loan to a hotel developer for the acquisition and renovation of the Hyatt Place Hotel.

Loan to Oil and Gas Producer
Represented the lender in connection with a term and revolving loan to a private exploration and production company in the aggregate about of approximately $40,000,000. The loan partially funded the acquisition of Exploration and Pipeline properties in Kansas and Oklahoma; negotiated and documented the facility (including preparing and filing oil and gas mortgages in multiple counties in Oklahoma and Kansas).

Syndicated Energy Facility
GableGotwals advised the successor agent bank in connection with a $115,000,000 syndicated credit facility to a privately held midstream energy company.

Revolving Credit Facilities to Energy Company
The lender was advised by GableGotwals on two revolving credit facilities in an aggregate amount of $7,000,000 to a privately held energy services company secured by real property and related assets in Kansas.

Subscription Escrow Agreement
The Firm represented a bank who agreed to establish escrow accounts and act as escrow agent for an investment firm and its issuer clients in support of securities offerings throughout the country.

Equipment Lending Document System
Assisted a bank client in establishing a loan document system designed to generate loan document sets for the bank client’s heavy equipment and aircraft lending group.

Mid-Con Energy Partners, LP IPO
The Firm represented Mid-Con Energy Partners, LP in the registration of its limited partnership units with the Securities and Exchange Commission and listing on the NASDAQ Global Market. $100 Million Oil and Gas Facility
GableGotwals represented an oil and gas company borrower in the negotiation and closing of a $100 million credit facility secured by oil and gas properties in other states.

$1.2 Billion Revolving Credit Facility – ONEOK Partners, L.P.
The Firm represented ONEOK Partners, L.P. in the negotiation and documentation of its new $1.2 billion unsecured revolving credit facility extended by a group of lenders.

Acquisition of Processing Plant
GableGotwals represented a client in the purchase of assets comprising a significant part of a fractionation facility in Kansas, along with related equipment. The purchase price was $84 million.

$1.2 Billion Revolving Credit Facility – ONEOK, Inc.
GableGotwals represented ONEOK, Inc. in the negotiation and documentation of its new $1.2 billion unsecured revolving credit facility extended by a group of lenders.

$1.3 Billion Public Offering
GableGotwals represented an energy company in connection the issuance of $650 million of 30-year senior notes and $650 million of 5-year senior notes.

$20 Million Sale of Drilling Rigs
The Firm represented the seller in the purchase and sale of $20 million of drilling rigs and the related financing.

GableGotwals represented the lender in the negotiation and documentation of a $13.1 million term and revolving loan facility to a local oil and gas producer.

Workout and Restructure of $90 Million Senior Credit Facility
GableGotwals represented the agent bank in connection with the workout and restructure of $90,000,000 syndicated senior credit facility consisting of a domestic term and revolving loans, an export-related revolving credit facility, and conduit bond issuance by a governmental development authority; restructure included the negotiation of a new senior credit facility, the sale of a controlling interest in the borrower to a newly-formed holding company owned by private equity investors, and issuance of subordinated notes to mezzanine lenders.

$180 million tax-exempt hospital bond issue
GableGotwals acted as special borrower’s counsel for a hospital system’s issuance of approximately $180 million of tax-exempt bonds to finance the acquisition of a hospital facility.

Native American Gaming Loans
The Firm is currently advising one of its banking clients in connection with the creation of the client’s Native American gaming loan portfolio, including representing the client in multiple loans to various tribal gaming agencies and tribal gaming entities to be used for general working capital and/or capital expenditures and secured by a pledge of all revenues generated by tribal gaming facilities.

$31.6 Million Construction Loan for Hotel Renovation
GableGotwals represented the lender in a $31.6 million construction loan to a hotel development group to refurbish the historic St. Anthony Hotel in San Antonio, Texas; the project also involved the use of historic tax credits.

The Firm represented a family group in negotiating the purchase of a home healthcare business.

$12 Million Construction Loan for Renovation of Tulsa City Hall
GableGotwals represented the lender in an approximately $12 million construction loan to be used in connection with historic rehabilitation tax credits to renovate and refurbish Tulsa’s Old City Hall for use as a hotel.

Sale of Family of Lumber Companies to Private Equity Group
The Firm advised stockholders and management of a group of privately held lumber wholesale businesses in a recapitalization whereby a private equity firm acquired substantially all of the sellers’ assets for consideration consisting of cash purchase price and phantom equity rights for management.

$125 Million Revolving Credit Facility
The Firm represented the agent bank and a group of lenders in the negotiation and closing of a $125 million credit facility secured by assets in various states and in Canada, which included a foreign currency subfacility.

GableGotwals represented the lender in a $13.3 million loan transaction that enabled the borrower to construct a 228-unit apartment complex.

$400 Million Credit Facility
GableGotwals represented an energy company in acquiring a $400 million 364-day revolving credit facility for working capital, mergers and acquisitions, refinancing of indebtedness and other general corporate purposes.

$7 Million Loan to Native American Entity
GableGotwals represented the lender in a $7 million loan to finance the purchase of equipment for a new gaming site in Oklahoma.

$23.5 Million Credit Facility for Renovation of the Mayo Hotel
GableGotwals represented the lender in a $23.5 million loan transaction that enabled the borrower to renovate the historic Mayo Hotel in downtown Tulsa, Oklahoma. The project also relied substantially on historic rehabilitation tax credits.

$600 Million Public Offering of Senior Notes
A publicly traded master limited partnership, issued $600 million of 30-year senior notes. The notes were issued under the partnership’s existing shelf registration statement previously filed with the Securities and Exchange Commission. GableGotwals represented the company in the transaction.

Restructuring of $40 Million Credit Facility
GableGotwals represented the lender in the restructuring of two credit facilities to enhance sales of the company’s goods to foreign customers and for general working capital needs. Each of the two credit facilities totaled $20 million.

$30 Million Loan to Native American Entity
GableGotwals represented a national bank that provided a $30 million loan to a Native American tribe to be used in the construction of a new casino.

Litigation Case Results

Tenth Circuit Court of Appeals Affirms Multi-Million Dollar Breach of Contract Judgment
After obtaining a $22.65 million judgment for the Firm’s client for a counterparty’s breach of a major gas asset purchase agreement, also obtained an award of interest and attorneys’ fees ultimately resulting in the client recovering nearly $30 million.

Royalty Owner Class Certification Denied
Obtained the first denial of a class certification motion on behalf of royalty owners in federal district court in Oklahoma City in almost 13 years. Subsequent decisions in the district followed suit.

Energy Litigation Group Successfully Persuades North Dakota Court to Refuse to Certify a Class Action
A North Dakota court refused to certify a class action urged by a plaintiff on behalf of royalty owners in a large production unit in North Dakota. The lease royalty provisions at issue allowed for deduction of certain post-production costs. In opposing the motion for class certification, the Defendants argued against certification of the class, and additionally opposed certification based on the merits of the underlying action, filing motions for summary judgment in favor of all of the defendants.

Litigation Team Secures Dismissal of Federal Action Against Corporate Directors and Officers
In granting the motion to dismiss, the United States District Court for the Northern District of Oklahoma found that under the fiduciary shield doctrine, the corporation’s contacts with the forum state cannot be used to establish jurisdiction with its officers and directors.

Obtained Victory for Life Insurance Company
Represented life insurance company before the Tenth Circuit Court of Appeals and obtained favorable judgment for client regarding whether the deceased’s beneficiaries were entitled to accidental death benefits after an overdose of prescription drugs.

Complaint to Trial in Less Than 60 Days
With a prompt adjudication on the merits crucial to the development of a $250 million wind farm project, the firm persuaded a federal court to set a merits trial less than two months after the case was filed. At trial, the Honorable Judge Gregory Frizzell found that in this instance, the proposed wind farm would not interfere with the plaintiff’s reasonable use of the surface estate to explore and develop its mineral interest and defeated the plaintiff’s request for a permanent injunction.

Pursued and successfully obtained injunctive relief worth approximately one billion dollars requiring affirmative assignment of oil and gas properties to rightful owner and successfully defended appeal of trial court decision to the Tenth Circuit Court of Appeals.
